One of the main legislative changes of the Companies Act 2014 (the ‘Act’) has been the codification of the fiduciary duties of a Director. The fiduciary duties of a Director apply to all Directors, whether paid or voluntary, shadow and de facto, therefore, every Director of an Irish registered company should be aware, and mindful, of their duties and responsibilities under the Act and the fact they apply individually to each company of which they are a Director.
